1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Misar AI Technology Private Limited, CIN U62013KA2026PTC214626 ("Misar AI," "we," "us," or "our") governing your access to and use of our websites, applications, products, and services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" will refer to both you and your organization.
2. Description of Services
Misar AI provides AI-powered software development and productivity tools, including but not limited to:
Misar.AI
An AI-powered platform that enables users to build web and mobile applications without writing code. This includes design-to-code conversion, template libraries, hosting, and deployment services.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Services without liability.
3. User Responsibilities
When using our Services, you agree to:

- -Attempt to gain unauthorized access to our systems or networks
- -Transmit malware, viruses, or other harmful code
- -Interfere with or disrupt the integrity or performance of our Services
- -Scrape, harvest, or collect information from our Services without permission
- -Create derivative works or reverse engineer our Services
- -Use the Services to generate illegal, harmful, or offensive content
- -Send spam, operate any scam or fraudulent scheme, or otherwise breach our Acceptable Use Policy
The Acceptable Use Policy forms part of these Terms and sets out in detail what is permitted when sending messages, sourcing contact data, and using channels other than email. You accepted it when you created your account. Breaching it is a breach of these Terms, and the categories identified there as grounds for immediate permanent termination are enforced as written.
4. Your Communications, Data, and Recipients
Several of our Services let you contact other people, source business contact data, and send at volume. This section sets out who is responsible for what when you do.
You are the sender
We supply tooling; you decide who is contacted, what is said, through which channel, and on what legal basis. Every message sent from your account is your communication, not ours, on every channel — email, SMS, WhatsApp, Telegram, LinkedIn, X, Instagram, Facebook, Threads, Discord, direct mail, and any channel added later. Using several channels does not divide that responsibility; it attaches to each message independently.
You are responsible for holding a lawful basis for each message under the law applying to each recipient, for honouring opt-outs, and for complying with the rules of any third-party platform you connect. Where the Services enforce a consent check, suppression list, quiet-hours window, or channel restriction, you must not circumvent it.
You control the data you bring or source
For contact lists you upload, and for records you retrieve or enrich through our lead-sourcing features, you act as the data controller and we act as processor on your instructions. That a record is retrievable through the Services is not advice that contacting the person is lawful; determining that is yours. We make no representation that sourced data is accurate, current, complete, or lawful for your intended purpose, and it must not be used to make decisions about credit, employment, housing, insurance, or eligibility for any benefit.
We are not party to your dealings with others
We are not a party to any transaction, agreement, offer, or relationship between you and the people you contact, or between you and any other user. We do not review, endorse, or vouch for what users send, offer, or claim. To the maximum extent permitted by applicable law, we are not liable for loss arising from another user's conduct — including misrepresentation, fraud, or a scam — and you release us from claims arising out of disputes between you and another user or a recipient.
This does not limit anything we may be required to do by law, and it does not stop us acting: we investigate reports of misuse and enforce the Acceptable Use Policy against accounts that abuse the Services.
Your indemnity to us
You will defend, indemnify, and hold harmless Misar AI Technology Private Limited, its affiliates, and their officers, directors, employees, and agents from and against any claim, demand, investigation, proceeding, penalty, loss, liability, or expense (including reasonable legal fees) arising out of or related to:
- -Your content, your messages, and the lists and data you upload, source, or contact
- -Your breach of these Terms or the Acceptable Use Policy
- -Your violation of any law or of any third party's rights, including data-protection, anti-spam, and telemarketing law
- -Your breach of the terms of any third-party platform, network, or provider you connect to your account
We will notify you of any claim covered by this indemnity and may participate in its defence with counsel of our choosing. You may not settle any claim in a way that imposes an obligation or admission on us without our written consent.
5. Intellectual Property
Our Intellectual Property
The Services, including all software, designs, text, graphics, interfaces, and other content, are owned by Misar AI and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
Your Content
You retain ownership of any content you create, upload, or generate using our Services ("Your Content"). By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely to provide and improve our Services.
Generated Content
Content generated by our AI tools based on your inputs belongs to you, subject to our underlying intellectual property rights in the Services. You are responsible for ensuring that your use of generated content complies with applicable laws and does not infringe on third-party rights.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MISAR AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- -Loss of profits, revenue, or business opportunities
- -Loss of data or content
- -Service interruptions or downtime
- -Costs of substitute services
- -Any damages arising from reliance on AI-generated content
Our total liability for any claims arising from or related to these Terms or the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD if you have not paid us any amounts.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
7. Termination
You may terminate your account and stop using our Services at any time by contacting us or using the account settings in our applications.
We may suspend or terminate your access to the Services at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination:
- -Your right to access and use the Services will immediately cease
- -We may delete your account and associated data after a reasonable retention period
- -Any licenses granted to you under these Terms will automatically terminate
- -Provisions that by their nature should survive termination will remain in effect
You may request an export of Your Content before termination by contacting us at support@misar.io.
8. Governing Law and Disputes
These Terms and any disputes arising from or relating to them or the Services will be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any disputes will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration will be conducted in English, and the seat of arbitration will be Bengaluru, India.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
9. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by:
- -Posting the updated Terms on our website with a new "Last Updated" date
- -Sending you an email notification (for registered users)
- -Displaying a notice in our applications or services
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using our Services and contact us to close your account.
